These Membership Terms & Conditions (“Terms”) govern participation in the frame:work Video Community (“frame:work” or the “Organization”). By registering for membership, submitting payment, or participating in frame:work programs, you (“Member”) acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Purpose of Membership
frame:work is a California nonprofit public benefit corporation recognized as tax-exempt under Section 501(c)(3) of the Internal Revenue Code. It supports professionals working in creative pixel production, live events, creative installations, and virtual production through education, collaboration, and community programming. Membership contributions support these activities and provide access to community engagement opportunities and benefits.
2. Membership Contribution
Membership is offered at the following annual contribution levels:
- Participant Member – $25 annually. Benefits include directory listing, and member communications.
- Practitioner Member – $120 annually. Benefits include Supporting Member benefits plus discount event registration.
- Professional Member – $250 annually. Benefits include all Professional Member benefits plus priority ticket access.
3. Membership Term
Membership is valid for one (1) year from the date of registration unless otherwise specified. Membership will renew automatically at the end of each Term unless the Member cancels prior to renewal in accordance with the Organization’s cancellation procedures. Lapsed memberships may result in loss of access to member-only programming, pricing, or platforms. Membership is personal and non-transferable unless otherwise expressly permitted.
4. Membership Benefits
Membership benefits vary by level and may include recognition, event access, networking opportunities, and participation in community initiatives. Benefits are subject to change and are described in the current Benefits Schedule.
5. Nature of Membership
Membership does not create any employment, agency, partnership, or joint venture relationship between the Member and the Organization and does not guarantee any referrals, speaking opportunities, or project collaborations.
6. Cancellation Policy
Member may cancel membership at any time by submitting a cancellation request through the Organization’s online account portal or by email request. Cancellation will be effective at the end of the then-current membership term. Membership contributions are non-refundable, and no partial refunds or credits will be issued for any unused portion of the membership term unless otherwise required by applicable law. Cancellation must be completed prior to the renewal date to avoid being charged for the next term. Once a renewal payment has been processed, it is non-refundable. frame:work reserves the right to cancel or terminate a membership in accordance with these Terms. In the event of termination by the Organization for reasons other than Member misconduct or violation of these Terms, frame:work may, in its sole discretion, provide a prorated refund or credit.
8. Intellectual Property
Members retain ownership of their intellectual property. Member grants frame:work a non-exclusive, royalty-free license to use the Member’s name or likeness in promotional materials unless declined in writing.
All uses must comply with brand guidelines if provided.
9. Privacy
9.1 Data Collection by Organization
frame:work collects limited information necessary to administer membership, including name, contact information, and professional affiliation. frame:work will not sell personal data to third parties.
10. Payment Terms
Membership contributions are due at registration. Membership fees are generally non-refundable and non-transferable. Membership access may be suspended for non-payment.
11. Compliance with Nonprofit Political Activity Restrictions
frame:work is a nonprofit organization recognized as tax-exempt under Section 501(c)(3) of the Internal Revenue Code and is therefore subject to restrictions on political and lobbying activities. Member acknowledges and agrees that membership in frame:work may not be used to support or oppose any candidate for public office. Member may not represent frame:work as endorsing political candidates, political parties, or political campaigns. Member shall not use frame:work events, communications channels, or membership status to engage in political campaign activity. Member shall not engage in lobbying activities on behalf of frame:work unless expressly authorized in writing by the Organization. Member may engage in political activity in a personal capacity only, and not as representatives of frame:work. frame:work reserves the right to suspend or terminate membership if Member actions threaten the Organization’s compliance with applicable nonprofit laws or its tax-exempt status.
12. Conflict of Interest
Member acknowledges that frame:work operates as a nonprofit organization serving the interests of the broader creative pixel community. Member agrees to disclose any actual or potential conflicts of interest that may arise in connection with participation in frame:work activities, including but not limited to situations where Member may seek to influence programming decisions for personal or commercial benefit, promote services, products, or investments in a manner inconsistent with the Organization’s mission, or participate in decision-making processes where Member has a financial interest. frame:work reserves the right to require disclosure of such conflicts and may take appropriate action to protect the integrity and independence of the Organization, including restricting participation in certain activities. Nothing in this clause shall prevent Member from engaging in their professional work or business activities outside the Organization, provided that such activities are not represented as being endorsed by frame:work.
13. Use of Name, Logo, and Trademarks
The name frame:work, along with its logos, trademarks, and branding elements (“frame:work Marks”), are the exclusive property of frame:work. Member may reference their membership in frame:work for professional identification purposes, such as stating that they are a “Member of frame:work Video Community.” However, Member shall not: use frame:work Marks in marketing or promotional materials without prior written consent; imply endorsement by frame:work of Member’s services, products, or opinions; or represent themselves as acting on behalf of frame:work unless expressly authorized in writing. frame:work reserves the right to revoke permission to reference membership if such references are misleading, inaccurate, or inconsistent with the Organization’s mission.
14. Termination
frame:work may terminate membership for violation of the Code of Conduct, non-payment, or conduct harmful to the Organization.
15. Indemnification
Member agrees to indemnify and hold harmless frame:work and its directors, officers, representatives, and agents (collectively “the Releasees”) from claims arising from Member participation in frame:work activities.
16. Limitation of Liability
frame:work shall not be liable for indirect or consequential damages related to participation in frame:work activities.
17. Force Majeure
frame:work shall not be liable for delays caused by events beyond its control, including natural disasters, government restrictions, or other force majeure events.
18. Governing Law
These Terms shall be governed by the laws of the State of California.
19. Dispute Resolution
Disputes arising under these Terms shall first be attempted to be resolved informally, and if not resolved, maybe be submitted to binding arbitration in the State of California.
20. Modifications
frame:work reserves the right to update or modify these Terms at any time. Continued participation constitutes acceptance of any updates.
21. Acknowledgment
By registering for membership, making a payment, or participating in frame:work activities, you acknowledge that you have read and agree to these Terms & Conditions.
